Please read these Terms and Conditions ("Terms") carefully before using the services offered by SoftTechBD ("we," "us," "our," or the "Company"). By accessing our website at softtechbd.com or engaging our services, you agree to be bound by these Terms.
1. Acceptance of Terms
By accessing and using our website and services, you accept and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, please do not use our services.
We reserve the right to update these Terms at any time. We will notify you of significant changes by updating the date at the top of this page. Your continued use of our services after changes are posted constitutes your acceptance of the revised Terms.
2. Services
SoftTechBD provides a range of digital and IT services including web development, mobile application development, digital marketing, content writing, blog creation, and Kindle publishing services. The specific terms of any service engagement will be outlined in a separate service agreement or statement of work.
2.1 Service Agreements

- Any statement of work, scope of work, or project brief agreed upon
In the event of any conflict, the written service agreement will take precedence over these general Terms.
3. Client Responsibilities
As a client, you agree to:
- Provide accurate, complete, and up-to-date information required for service delivery
- Respond to our communications in a timely manner to avoid project delays
- Provide timely feedback, approvals, and sign-offs at each milestone
- Ensure you have the legal right to use any content, images, or materials you provide to us
- Make payments as agreed in the service agreement
- Not use our services for any illegal, fraudulent, or unethical purposes
4. Payment Terms
Unless otherwise agreed in a written service agreement:
- A deposit of 50% is required before work commences on new projects
- The remaining balance is due upon project completion, before final delivery
- Invoices are due within 14 days of the invoice date
- We reserve the right to suspend services for overdue payments
- Late payments may incur interest charges of 2% per month on the outstanding amount
5. Intellectual Property
5.1 Ownership of Deliverables
Upon receipt of full payment, all deliverables created specifically for you (custom code, designs, content) will become your property. We retain ownership of all deliverables until full payment is received.
5.2 Our Intellectual Property
We retain all rights to our proprietary tools, frameworks, methodologies, pre-existing work, and any general-purpose code, libraries, or components used in delivering your project. You receive a non-exclusive license to use these as incorporated into your deliverables.
5.3 Portfolio Rights
Unless you request otherwise in writing, we reserve the right to display and link to your completed project as part of our portfolio and marketing materials.
6. Confidentiality
We treat all client information as confidential. We will not disclose your confidential business information to third parties without your consent, except as required by law or as necessary to provide our services (e.g., to trusted subcontractors under confidentiality agreements).
7. Limitation of Liability
To the maximum extent permitted by applicable law:
- SoftTechBD shall not be liable for any indirect, incidental, special, consequential, or punitive damages
- Our total liability for any claim arising out of or relating to our services shall not exceed the total amount you paid us in the 3 months preceding the claim
- We are not responsible for delays or failures caused by factors outside our control, including but not limited to client delays, third-party service outages, or force majeure events
8. Warranties and Disclaimers
We warrant that our services will be performed with reasonable skill and care. However:
- We do not warrant that our services will be uninterrupted, error-free, or completely secure
- We do not guarantee specific business outcomes, search engine rankings, or revenue results from our services
- Third-party platforms, tools, and services we use are subject to their own terms and are beyond our control
9. Termination
Either party may terminate a service agreement by providing written notice. Upon termination:
- You will be invoiced for all work completed up to the termination date
- Any amounts owed for work completed are immediately due
- We will provide you with all completed work and project files upon receipt of final payment
- Termination does not affect any rights or obligations that accrued before the termination date
10. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of England and Wales for our UK operations, and the laws of Bangladesh for our Bangladesh operations. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of the applicable jurisdiction.
11. Dispute Resolution
In the event of any dispute, both parties agree to first attempt to resolve the matter through good-faith negotiation. If negotiation fails, both parties agree to attempt mediation before pursuing formal legal action.
12. Entire Agreement
These Terms, together with any signed service agreement and our Privacy Policy, constitute the entire agreement between you and SoftTechBD with respect to our services and supersede all prior agreements and understandings.
